Terms of Service

1. Parties

These general terms govern the relationship between GRC Factory B.V. (KvK 12345678), established in Rotterdam, and any client. Dutch law applies exclusively.

2. Services

GRC Factory provides audit readiness assessments and internal audit services. Scope, deliverables, timeline, and price are defined in a Statement of Work signed by both parties.

3. Fees and Payment

Invoices are payable within 30 days. Late payments attract statutory commercial interest (wettelijke handelsrente). All fees exclude BTW unless stated.

4. Intellectual Property

Generic frameworks and methodologies remain GRC Factory property. Engagement-specific deliverables become the client property upon full payment.

5. Confidentiality

Both parties treat non-public engagement information as confidential for 5 years following the engagement.

6. Liability

Liability is limited to fees paid in the 12 months prior to the claim. Implementation decisions remain the client responsibility.

7. Disputes

Disputes are submitted to the competent court in Rotterdam under Dutch law.
